Terms of Membership in the Yandex Maps API Loyalty Program for startups
1.The Yandex Maps API Loyalty Program (the “Program”) was developed by Yandex L.L.C (“Yandex”) and is intended to attract and retain on the Yandex Maps API Services companies that develop software and digital products.
2. Membership in the Program is available only to Customers who have registered a Business account on the Yandex ID {https://passport.yandex.ru/auth/reg} and meet the eligibility criteria specified on the Website at: https://yandex.com/maps-api/startup (the “Member”).
3. A Customer who qualifies for the Program shall be entitled to submit an application for membership in the Program (the “Application”). The Application is submitted through the Yandex Website and is considered by the Yandex team within five (5) business days. Based on the results of the review of the Application, Yandex, at its sole discretion, but in accordance with the principles of good faith and non-discrimination, decides whether to assign the Customer the status of a program member (“Program Member”) or to refuse to assign the said status. Information about the decision made by Yandex is sent to the Customer’s e-mail address specified when submitting an Application via the Yandex Website at: https://yandex.com/maps-api/startup The relevant grant status is determined based on information and data provided by a Customer. Yandex has the right to request additional information or documentation to confirm the Customer's compliance with the Program requirements.
Customers that are funded from the personal investments of the founders, their friends, family, via Private Equity, government innovation grants, prize funding, crowdfunding can only become participants of the Start Grant Program.
Yandex may contact an applicant via the email or phone number provided in their applications to confirm the submitted information. Yandex may also contact other persons listed in an application, such as team members and investors.
Yandex has right to request confirmation of investments, for which Customer can provide relevant documents such as a Simple Agreement for Future Equity (SAFE), convertible notes and other agreements. Additionally, applicants can submit information from trustworthy, authoritative, and publicly available online sources to confirm their investment, such as press releases, news articles, and investor publications.
4. Program Members have a choice of the privileges listed in paragraphs 5 and/or 6 of the Program depending on Grant status determined by Yandex. An applicant may apply under paragraph 3 only for one set of privileges: as described in paragraph 5 or 6. The privileges listed in paragraphs 7 and 8 of the Program are available to all Program Members.
5. Start Grants.
5.1. Grant up to two million a five hundred (2 500 000) requests (in total) that can be used in the following Yandex Maps API Services for evaluation purposes:

5.2. Grant Period: up to three hundred and sixty (360) calendar days.
6. Develop Grant. The Program Member assigned Developer Status is provided with a Developer Grant.
6.1. Grant up to ten million (10 000 000) requests (in total) that can be used in the following Yandex Maps API Services for evaluation purposes:

6.2. Grant Period: up to three hundred and sixty (360) calendar days.
7 Additional Grant. To All Status Program Members Yandex, at its sole discretion can be offer the following:
7.1. Extend term of the Program on special conditions, offered by Yandex;
7.2. Discount on Maps API after graduation from the Program;
8. The terms and conditions for issuing an Additional Grant:
8.1. during the Grant Period, the Member made or will highly likely make full use of its Grant set forth in Clause 5.1 of these Terms for Start Status Program Members and in Clause 6.1. of these Terms for Develop Status Program Members. In order to apply for an Additional Grant a Member shall inform Yandex about existence of grounds for Additional Grant via email_startupprogram@yandex-team.ru at least 2(two) months prior to exhausting grant limits (or to estimated time of exhausting grant limits)
8.2. successful completion of an additional interview of the Member with the Program manager.
9. The full list of benefits available under the Program is available to New Members only. A New Member is deemed to be one who is:
9.1. А Member who is registered in YANDEX ID, received access to Partner interface of the Services and is connected to the Services for the first time (have never had an access to the Services in accordance with other agreements);
9.2. A person that has not been a Member of the Program within 2 (two) years prior to submitting an application
9.2. A person who has not used the Services (paid or trial period) due to any agreements for the previous one hundred and eighty (180) calendar days prior to submitting an application.
10. Yandex has the right to revoke a Program Member’s status at any time if the Program Member violates the obligations set out in the Agreement on the use of Yandex Maps API Services. Yandex will notify the Program Member of termination of status and provided grants (Start Grant and Developer Grant, additional Grants) will be terminated immediately.
11. Yandex may, by its decision, terminate the Program or change its terms at any time by giving at least seven (7) calendar days' prior notice to the Program Member by sending a corresponding notice to the email address of the Program Member specified in the Application.
12. Yandex will process Member’s personal data in order to fulfill the terms of this agreement. Information of Yandex's processing of your personal data is specified in the Privacy policy (https://yandex.ru/legal/confidential/index.html).
13. If Member transfers personal data of third parties (e.g. employees, partners) to Yandex, the Member shall be considered independent data controller. The Member shall ensure that the personal data, which it supplies or discloses to Yandex, has been obtained fairly and lawfully and that it will obtain all necessary consents from persons whose data is being processed for such transfer and further processing of personal data by Yandex and its affiliates and Member has obtained all necessary registrations or permissions with authorities to permit Yandex to process the personal data and transfer it to third parties, including those located abroad, pursuant to its obligations under this Terms.
14. Restrictions:
14.1. All information provided as part of an individual and/or group consultation for the Member is advisory in nature and non-binding. Yandex shall not be liable for any loss and/or damage caused by the actions/omissions of the Program Member resulting from the use or non-use of the information and/or advice received;
14.2. Yandex shall not use the results of the intellectual activity of the Program Member for its own purposes or for the benefit of third parties.
14.3. Yandex affiliates shall not participate in the Program.
14.4. All the Yandex Maps API Services shall be used by the Customer/Program Members under the terms of the Service Agreement: https://yandex.com/legal/maps_api_service_agreement
13. Yandex may perform its obligations under this Terms of Membership through its Affiliates and use subcontractors to provide grants. Yandex remains responsible for their performance.
